SEC Approves Tesla Retail Auto-Voting System and Expands Framework to All Issuers
The U.S. Securities and Exchange Commission has cleared Tesla's retail voting framework, confirming the mechanism is open to all corporate issuers. The system allows retail shareholders to opt into standing instructions that automatically cast proxy votes in alignment with management recommendations, while permitting investors to override votes, opt out, or exclude major transactions. Tesla partnered with Robinhood to develop the initiative to address low retail voting turnout, which stood at roughly 28% to 30% versus about 77% for institutions, and to reduce proxy solicitation costs exceeding $2 million over its last two annual meetings.
