Microsoft Agrees to Preserve Shareholder Proposal Eligibility Thresholds Through 2027 Proxy Season
Microsoft has reached an agreement with activist Paul Chesser to keep its current shareholder proposal eligibility thresholds through the 2027 proxy season and its annual meeting scheduled for December 8. The one-year commitment follows an SEC proposal under Chair Paul Atkins to transfer oversight of shareholder resolutions to state officials, which critics say could disenfranchise smaller investors. Chesser, affiliated with the National Legal and Policy Center, has also introduced comparable proposals at other major corporations including Procter & Gamble and Oracle.
