Forge Nano–Samsung SDI tie-up backs Archimedes II (ATII) SPAC plan

Archimedes Tech SPAC Partners II (ATII) disclosed an 8-K highlighting a key development for its pending merger partner, Forge Nano. Forge Nano announced a strategic partnership with Samsung SDI to build a 3 GWh-per-year battery Gigafactory in Morrisville, North Carolina, with production expected to begin by 2028. The project carries a planned $300–$330 million investment and is supported by a $100 million U.S. Department of Energy grant. Samsung SDI will assist with construction and operations, make conditional purchases of cells starting in 2028, and Forge Nano will also distribute Samsung SDI cells in the U.S. The filing reinforces the industrial and execution rationale behind the proposed ATII-Forge Nano business combination, though the deal still depends on SEC review, shareholder approval, and project completion.
